Terms of Service

1. Eligibility and Authority

You must be at least 21 years of age or the age of majority in your jurisdiction, whichever is greater, to purchase products from Casmo Health.

By accessing the Site or placing an order, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement;
• You are legally permitted to purchase, possess, receive, and handle the products ordered;
• All information you provide to Casmo Health is accurate, complete, and current;
• You will comply with all applicable federal, state, local, institutional, and other laws and regulations; and
• You will use products only for lawful purposes permitted by these Terms and our Research Use Only Policy.

If you access the Site or purchase products on behalf of a company, laboratory, university, institution, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Research Use Only

Products designated or labeled by Casmo Health as research products are sold strictly for legitimate laboratory, analytical, educational, or scientific research purposes.

Research products are NOT intended for human or veterinary use.

Research products must not be administered, ingested, injected, inhaled, implanted, applied, consumed, or otherwise introduced into the body of any human or animal.

Research products are not intended or authorized for:

• Human or veterinary consumption or administration;
• Diagnosis, treatment, mitigation, cure, or prevention of disease or any medical condition;
• Clinical, therapeutic, cosmetic, recreational, or household use;
• Compounding or preparation for human or veterinary administration;
• Incorporation into foods, beverages, dietary supplements, cosmetics, drugs, medical devices, or other finished consumer products; or
• Any other use inconsistent with legitimate laboratory research.

Your purchase, possession, handling, transfer, and use of research products are also subject to our separate Research Use Only Policy, which is incorporated into and forms part of these Terms.

If you cannot comply with the Research Use Only Policy, you must not purchase, possess, handle, transfer, or use Casmo Health research products.

3. Regulatory Status; No Pharmacy or Compounding Services

Casmo Health LLC is not a pharmacy operating under Section 503A of the Federal Food, Drug, and Cosmetic Act and is not registered with the U.S. Food and Drug Administration (“FDA”) as an outsourcing facility under Section 503B.

Casmo Health does not hold itself out as a pharmacy, medical provider, veterinary provider, or provider of compounded medications for individual patients.

Research products offered through the Site are sold subject to our Research Use Only Policy and are not offered as prescriptions, compounded medications, or products intended for human or veterinary administration.

Unless expressly stated otherwise in writing for a particular product pursuant to an applicable lawful regulatory pathway, research products offered by Casmo Health have not been approved by the FDA for human or veterinary use.

Nothing on the Site constitutes an offer to diagnose, treat, cure, mitigate, or prevent any disease or medical condition, or to prescribe or dispense medication.

4. No Medical, Veterinary, Pharmaceutical, Legal, or Professional Advice

Information available through the Site, including product descriptions, research summaries, scientific references, Certificates of Analysis (“COAs”), technical information, correspondence, customer-support communications, and other materials, is provided solely for informational, educational, analytical, and research purposes.

Nothing provided by Casmo Health constitutes medical, veterinary, pharmaceutical, clinical, legal, regulatory, or other professional advice.

Casmo Health does not provide recommendations or instructions concerning human or veterinary dosing, administration, treatment protocols, cycles, routes of administration, or therapeutic use.

References to scientific literature, molecular characteristics, chemical properties, purity, concentration, experimental findings, nomenclature, or other technical information do not constitute a recommendation, instruction, representation of safety or efficacy, or endorsement of any human or veterinary application.

You are solely responsible for obtaining appropriate independent professional advice when necessary.

5. Purchaser Representations and Certifications

By accessing our product catalog or placing an order for a research product, you represent, warrant, and certify that:

1. You are purchasing the product solely for lawful research purposes;
2. You will not use any research product for human or veterinary consumption, administration, diagnosis, treatment, or other clinical application;
3. You are legally permitted and appropriately qualified or authorized to purchase, possess, receive, store, and handle the materials ordered;
4. You possess, or operate under the supervision of individuals possessing, sufficient knowledge, training, facilities, equipment, and procedures to safely handle the materials;
5. You will comply with all applicable federal, state, local, institutional, environmental, safety, transportation, import/export, and other legal or regulatory requirements;
6. You will obtain any licenses, permits, registrations, institutional approvals, or other authorizations required for your activities;
7. You will not sell, transfer, distribute, relabel, repackage, advertise, market, or otherwise provide Casmo Health research products for human or veterinary use;
8. You will not incorporate Casmo Health research products into any product intended for human or veterinary administration or consumption;
9. You will not purchase, possess, transfer, distribute, or use products for any unlawful or prohibited purpose;
10. You will not make unauthorized medical, therapeutic, pharmaceutical, diagnostic, or veterinary claims concerning Casmo Health research products; and
11. You have independently determined that your purchase, possession, receipt, and proposed research activities are lawful in your jurisdiction.

Each order constitutes a renewed certification that these representations and warranties remain true and accurate.

If purchasing on behalf of another individual or entity, you are responsible for ensuring that the ultimate recipient is legally permitted to receive the products and complies with these Terms and the Research Use Only Policy.

6. Researcher Responsibility and Hazard Notice

Research chemicals and related materials may possess chemical, biological, pharmacological, toxicological, physical, or other hazards.

Certain characteristics, interactions, toxicities, or risks associated with research materials may be unknown, incompletely characterized, or not fully understood.

The absence of a specifically identified hazard must not be interpreted as evidence that a material is safe.

Purchasers are solely responsible for evaluating potential hazards and establishing appropriate procedures before receiving, storing, handling, transferring, or using research materials.

Purchasers are responsible for implementing appropriate laboratory safety practices, including, as applicable:

• Personal protective equipment;
• Engineering controls and containment;
• Proper storage;
• Restricted access;
• Appropriate labeling and recordkeeping;
• Spill and exposure procedures;
• Transportation procedures; and
• Waste disposal procedures.

Research products should be handled only by appropriately trained individuals in suitable research environments.

7. Certificates of Analysis and Product Information

Certificates of Analysis, analytical results, purity information, batch information, molecular information, and similar documentation describe analytical characteristics of materials supplied for research purposes.

Such documentation does not constitute FDA approval, clinical validation, certification of suitability for human or veterinary use, or a guarantee that a product is appropriate for any particular research application.

While Casmo Health strives to provide accurate product and technical information, scientific information, specifications, descriptions, images, documentation, and other Site content may contain errors or may be updated or corrected from time to time.

Purchasers remain independently responsible for determining whether a product is appropriate for their particular lawful research methodology and objectives.

8. Legal and Regulatory Compliance

Laws and regulations governing research materials vary among jurisdictions and may change over time.

You are solely responsible for determining whether the purchase, possession, receipt, shipment, importation, exportation, storage, transfer, handling, resale, distribution, and proposed use of any product are lawful in your jurisdiction.

Certain products may be restricted or may require licenses, permits, registrations, institutional approvals, or other authorization.

Casmo Health does not provide legal or regulatory advice and does not represent that any product may lawfully be purchased, possessed, received, transferred, or used in every jurisdiction.

You are responsible for monitoring and complying with laws and regulations applicable to your activities.

9. Orders and Acceptance

All orders submitted through the Site constitute offers to purchase and are subject to acceptance by Casmo Health.

Receipt of an automated order confirmation, payment confirmation, or other electronic communication does not necessarily constitute final acceptance of an order.

Casmo Health reserves the right, to the fullest extent permitted by applicable law, to accept, refuse, limit, hold, investigate, or cancel an order for any legitimate business, compliance, fraud-prevention, safety, inventory, payment, shipping, or regulatory reason.

This includes circumstances in which we reasonably suspect:

• Prohibited human or veterinary use;
• Product diversion;
• Prohibited resale or redistribution;
• Fraudulent or suspicious activity;
• Violation of these Terms or our Research Use Only Policy;
• Regulatory noncompliance;
• Attempts to circumvent purchasing restrictions; or
• Use of inaccurate, incomplete, fraudulent, or misleading purchaser information.

Casmo Health may request additional information reasonably necessary to verify purchaser eligibility, identity, payment information, shipping information, or intended research use.

Failure or refusal to provide reasonably requested information may result in an order being held or canceled.

Acceptance, processing, shipment, or fulfillment of an order does not constitute a determination or representation by Casmo Health that your proposed activities are lawful, appropriately licensed, institutionally approved, safe, or scientifically appropriate.

10. Pricing, Availability, and Payment

All prices are displayed in the currency indicated on the Site and are subject to change without notice.

Product availability is not guaranteed.

Casmo Health reserves the right to correct typographical errors, pricing errors, product-description errors, inventory discrepancies, technical errors, or other inaccuracies.

If an error affects an order you have submitted, Casmo Health may contact you for instructions, cancel the affected portion of the order, refund an applicable amount, or provide another appropriate resolution.

You agree to provide current, complete, and accurate billing and payment information.

By submitting an order, you authorize Casmo Health and its applicable payment service providers to charge the payment method provided for the total amount of your order, including applicable taxes, shipping charges, and other fees disclosed before purchase.

Fraudulent payments, unauthorized payment disputes, chargeback abuse, or other payment-related misconduct may result in cancellation or restriction of purchasing privileges.

11. Shipping and Delivery

Shipping and delivery dates are estimates unless Casmo Health expressly provides a specific written guarantee.

Casmo Health is not responsible for delays resulting from carriers, weather, customs, governmental actions, natural disasters, incorrect or incomplete addresses supplied by the purchaser, or circumstances outside our reasonable control, subject to rights that cannot lawfully be waived.

You are responsible for providing a complete and accurate shipping address and ensuring that you are legally permitted to receive the products ordered at the destination provided.

You are responsible for promptly inspecting your shipment after delivery and notifying Casmo Health of damaged, missing, incorrect, or otherwise affected items in accordance with our applicable policies.

Any shipping-protection, replacement, delivery, lost-package, or carrier-related terms displayed during checkout or contained in a separate Shipping Policy are incorporated into these Terms by reference.

12. Returns, Refunds, Replacements, and Order Issues

Due to the nature of certain products sold by Casmo Health and considerations involving product integrity, chain of custody, storage conditions, temperature exposure, contamination, and research reliability, products may be ineligible for return or exchange after shipment or delivery.

Returns, refunds, replacements, cancellations, damaged shipments, missing items, incorrect items, and other order issues are governed by the applicable Refund, Return, and Shipping Policies posted on the Site.

Casmo Health may require reasonable documentation, including photographs, packaging information, shipping information, or other evidence, when evaluating a request concerning a damaged, defective, missing, or incorrect shipment.

Nothing in these Terms is intended to waive any non-waivable consumer rights or remedies provided by applicable law.

13. Prohibited Uses, Resale, and Diversion

You may not use the Site or Casmo Health products for unlawful, fraudulent, deceptive, or prohibited purposes.

With respect to research products, Casmo Health expressly prohibits:

• Human consumption or administration;
• Veterinary consumption or administration;
• Clinical, medical, therapeutic, cosmetic, or recreational use;
• Compounding or preparation for human or veterinary administration;
• Incorporation into drugs, dietary supplements, cosmetics, foods, beverages, or other finished consumer products;
• Relabeling or repackaging intended to conceal, alter, or misrepresent a product’s research-use status;
• Advertising, promoting, or marketing research products for human or veterinary use;
• Making unauthorized therapeutic, diagnostic, pharmaceutical, medical, or veterinary claims concerning Casmo Health research products;
• Resale or distribution when you know or reasonably should know that a product will be used for a prohibited purpose;
• Circumvention of pharmaceutical, controlled-substance, customs, import/export, purchasing, or other regulatory requirements;
• Fraudulent or deceptive conduct involving Casmo Health or its products; and
• Any other use prohibited by applicable law, these Terms, or the Research Use Only Policy.

You may not encourage, facilitate, instruct, direct, or knowingly assist another person or entity in engaging in prohibited conduct involving products purchased from Casmo Health.

14. Intellectual Property

The Site and its contents, including text, graphics, logos, trademarks, trade names, product photographs, icons, images, software, design elements, databases, product descriptions, documentation, and other materials, are owned by or licensed to Casmo Health and are protected by applicable intellectual property laws.

Except as expressly permitted by applicable law, you may not reproduce, copy, modify, distribute, publish, transmit, display, sell, license, create derivative works from, commercially exploit, scrape, or otherwise use protected Site content without prior written permission from Casmo Health or the applicable rights holder.

Nothing in these Terms grants you ownership of or a license to any Casmo Health trademark, trade name, logo, copyright, or other intellectual property except as expressly stated in writing.

15. Third-Party Services and Links

The Site may contain links to or integrations with third-party websites, payment processors, shipping carriers, analytics providers, hosting providers, or other third-party services.

Casmo Health does not control and is not responsible for third-party websites, services, content, privacy practices, availability, security, or conduct.

Your interactions with third parties may be governed by separate terms, privacy policies, and other agreements imposed by those third parties.

The inclusion of a third-party link or service does not necessarily constitute endorsement by Casmo Health.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, PRODUCTS, INFORMATION, DOCUMENTATION, AND SERVICES PROVIDED BY CASMO HEALTH ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CASMO HEALTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, CASMO HEALTH DOES NOT WARRANT OR REPRESENT THAT:

• THE SITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE;
• INFORMATION ON THE SITE WILL ALWAYS BE COMPLETE, CURRENT, ACCURATE, OR ERROR-FREE;
• ANY RESEARCH PRODUCT IS SUITABLE FOR A PARTICULAR EXPERIMENTAL OR RESEARCH PURPOSE;
• ANY RESEARCH PRODUCT IS SUITABLE OR SAFE FOR HUMAN OR VETERINARY USE;
• ANY PRODUCT WILL PRODUCE A PARTICULAR RESEARCH RESULT; OR
• RESULTS OBTAINED THROUGH THE USE OF A PRODUCT WILL MEET A PURCHASER’S EXPECTATIONS.

SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

17. Assumption of Risk

You acknowledge that research materials may possess known and unknown risks and that certain risks may not presently be fully characterized.

You voluntarily assume responsibility for the lawful purchase, possession, receipt, storage, transportation, handling, transfer, and use of products purchased from Casmo Health.

You are responsible for implementing appropriate safeguards, conducting your own risk assessment, maintaining appropriate facilities and equipment, and ensuring that persons handling research materials possess appropriate training and qualifications.

To the fullest extent permitted by applicable law, you assume the risks associated with unauthorized use, misuse, improper storage, improper handling, diversion, relabeling, prohibited resale, unauthorized transfer, or other conduct inconsistent with these Terms or the Research Use Only Policy.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CASMO HEALTH LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUPPLIERS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO:

• YOUR ACCESS TO OR USE OF THE SITE;
• YOUR INABILITY TO ACCESS OR USE THE SITE;
• YOUR PURCHASE, POSSESSION, RECEIPT, STORAGE, HANDLING, TRANSPORTATION, TRANSFER, DISTRIBUTION, USE, OR MISUSE OF PRODUCTS;
• UNAUTHORIZED OR PROHIBITED USE OF PRODUCTS;
• THIRD-PARTY CONDUCT; OR
• THESE TERMS OR THE RESEARCH USE ONLY POLICY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CASMO HEALTH’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PRODUCT, ORDER, OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO CASMO HEALTH FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF CASMO HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

19. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Casmo Health LLC and its members, managers, officers, employees, contractors, agents, affiliates, suppliers, service providers, successors, and assigns from and against claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• (a) your access to or use of the Site;
• (b) your purchase, possession, receipt, storage, handling, transportation, transfer, resale, distribution, use, or misuse of any product;
• (c) your violation of these Terms or the Research Use Only Policy;
• (d) your violation of applicable law, regulation, or a third party’s rights;
• (e) unauthorized human or veterinary use of a research product purchased by or through you;
• (f) your resale, redistribution, relabeling, repackaging, diversion, marketing, or transfer of a product;
• (g) any representation, instruction, advertisement, marketing statement, or claim made by you concerning a Casmo Health product; or
• (h) claims arising from the conduct of a person or entity to whom you directly or indirectly supplied, transferred, resold, distributed, or otherwise made available a product purchased from Casmo Health.

Casmo Health reserves the right to assume the exclusive defense and control of a matter otherwise subject to indemnification by you, in which event you agree to reasonably cooperate with our defense.

20. Suspension, Refusal of Service, and Termination

Casmo Health reserves the right, to the extent permitted by applicable law, to restrict purchasing privileges, refuse service, suspend accounts, cancel pending orders, or terminate access to the Site when we reasonably believe that you:

• Violated these Terms;
• Violated the Research Use Only Policy;
• Provided false, fraudulent, incomplete, or misleading information;
• Engaged in fraudulent, deceptive, abusive, or suspicious activity;
• Misused or diverted products;
• Marketed, transferred, or resold research products for prohibited purposes;
• Attempted to circumvent legal, regulatory, payment, purchasing, or Site restrictions; or
• Created an unreasonable legal, regulatory, safety, fraud, reputational, or security risk.

Termination does not affect rights or obligations that accrued before termination.

21. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any purchase from Casmo Health, or the relationship between you and Casmo Health shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles, except to the extent applicable federal law controls.

To the fullest extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms, the Site, or any transaction with Casmo Health shall be brought in a court of competent jurisdiction located in the State of Arizona, and each party consents to the personal jurisdiction of such courts.

Nothing in this section shall deprive a consumer of any non-waivable rights, remedies, or protections available under applicable law.

22. Changes to These Terms

Casmo Health may modify these Terms from time to time.

Updated Terms will be posted on the Site with a revised “Last Updated” date.

Unless otherwise stated, changes will apply prospectively from their effective date except where otherwise required or permitted by applicable law.

Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

Material changes may be communicated through additional means when required by applicable law.

23. Electronic Communications and Acceptance

By using the Site, creating an account, submitting an order, or electronically accepting these Terms where presented, you consent to transact electronically with Casmo Health and to receive agreements, disclosures, notices, receipts, order communications, and other communications electronically to the extent permitted by applicable law.

Where you affirmatively indicate acceptance of these Terms electronically, including by selecting a checkbox or submitting an order after being presented with these Terms, your electronic acceptance constitutes your agreement to be bound by these Terms.

You are responsible for maintaining accurate contact information.

24. Entire Agreement

These Terms, together with the Research Use Only Policy, Privacy Policy, Disclaimer, Refund Policy, Shipping Policy, and any other policies expressly incorporated by reference, constitute the entire agreement between you and Casmo Health concerning your use of the Site and purchases from Casmo Health.

These Terms supersede prior or contemporaneous communications, representations, understandings, or agreements concerning the same subject matter, except as otherwise expressly agreed to in writing by Casmo Health.

25. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law or, where necessary, severed.

The remaining provisions shall remain in full force and effect.

26. No Waiver

Casmo Health’s failure or delay in exercising or enforcing any right or provision of these Terms does not constitute a waiver of that right or provision.

Any waiver must be expressly made in writing by an authorized representative of Casmo Health.

27. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Casmo Health.

Casmo Health may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, restructuring, conversion, domestication, or other lawful business transaction.

28. Survival

Any provisions that by their nature should survive termination or expiration of these Terms shall survive, including provisions concerning:

• Intellectual property;
• Purchaser representations and certifications;
• Prohibited uses;
• Assumption of risk;
• Disclaimer of warranties;
• Limitation of liability;
• Indemnification;
• Governing law and venue;
• Accrued payment obligations; and
• Any other rights or obligations that by their nature are intended to survive.

29. No Authorization Created by Sale

Casmo Health’s acceptance, processing, shipment, or fulfillment of an order does not constitute approval, authorization, endorsement, certification, or confirmation of the purchaser’s intended use.

Casmo Health does not represent that fulfillment of an order establishes that the purchaser’s activities are lawful, appropriately licensed, institutionally approved, scientifically appropriate, or compliant with applicable regulations.

Nothing provided by Casmo Health grants authorization to use a product in a manner prohibited by applicable law, regulation, these Terms, or the Research Use Only Policy.

30. Force Majeure

To the fullest extent permitted by applicable law, Casmo Health shall not be responsible for delays or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic or pandemic conditions, labor disruptions, carrier interruptions, transportation failures, supply-chain disruptions, governmental actions, customs delays, utility failures, telecommunications outages, cyber incidents affecting third-party service providers, or other events beyond Casmo Health’s reasonable control.

This provision does not limit any non-waivable rights available under applicable law.
